Terms of Service

The agreement that governs your use of Zana.

Last updated: September 24, 2026

These Terms of Service ("Terms") are a binding agreement between you and Nouvos Solutions LLC, an Illinois limited liability company with its principal office at 909 Davis Street, Suite 500, Evanston, Illinois 60201, United States ("Nouvos Solutions LLC", "we", "us" or "our"). They govern your access to and use of Zana (also offered as Zanapronto), including https://www.zanapronto.com, the Zana mobile applications for iOS and Android, our WhatsApp and email messaging, and related services (together, the "Service").

By creating an account, accessing or using the Service, you accept these Terms and our Privacy Policy. If you use the Service on behalf of a clinic, hospital, laboratory, pharmacy or other organization, you represent that you are authorized to bind that organization, and "you" includes it. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. A parent or legal guardian may create and manage an account for a minor and is responsible for that minor's use of the Service.

You agree to provide accurate, current and complete information, including professional credentials where requested, and to keep it up to date. You are responsible for safeguarding your password and any second factor, and for all activity under your account. Notify us immediately at legal@nouvos.one of any unauthorized use.

2. The Service is software, not a healthcare provider

Nouvos Solutions LLC provides software that helps health professionals and organizations publish a profile, manage appointments, keep records, issue documents and communicate with patients. Nouvos Solutions LLC does not practice medicine or any other health profession, does not provide medical advice, diagnosis or treatment, and is not a party to the relationship between a professional and a patient.

Clinical content in the Service is created by professionals, their staff or patients, and each professional is solely responsible for it. The Service is not intended for emergencies. If you have a medical emergency, call your local emergency number immediately. Do not rely on messages, reminders or automated features for urgent care.

3. Professional and organization responsibilities

Professionals and organizations, and the staff they authorize, are solely responsible for: the accuracy, legality and clinical appropriateness of everything they enter, issue or send; holding and maintaining any license, registration or authorization their practice requires; obtaining any patient consent required to collect, use and share patient information and to contact patients through the Service, including by WhatsApp and email; and complying with all laws and professional rules that apply to them, including those on health records, privacy, retention and electronic communications.

A professional or organization is responsible for the people it grants access to its account and for removing that access when it should end. We may verify credentials and may refuse, suspend or remove a professional listing that we cannot verify or that we reasonably believe is inaccurate.

4. Patient responsibilities

Patients are responsible for the information they provide and for following up directly with their professional about any clinical question. Appointment requests may need to be confirmed by the professional. Reminders, translations and other automated features are conveniences and do not replace professional judgment or in-person care.

5. Messaging, including WhatsApp

The Service can send and receive messages through the WhatsApp Business Platform operated by Meta Platforms, through email and inside the Zana portal. By giving a phone number to a professional or to Zana, or by writing to our WhatsApp number, you agree to receive service messages related to your care and account, such as appointment confirmations, reminders and replies from your professional. We do not use WhatsApp for advertising.

You can ask your professional or us to stop WhatsApp messages at any time, and you can block our number in WhatsApp. Your carrier's or internet provider's charges may apply. WhatsApp is a third-party service governed by its own terms; delivery depends on it and on your device and connection, and we do not guarantee that any message is delivered, read or delivered on time.

6. Automated and AI-assisted features

Some features, such as voice dictation, message translation and document intake, use automated processing, including artificial intelligence provided by third parties. Their output can contain errors or omissions. A professional must review any transcription, translation or extracted data before relying on it or adding it to a record, and remains responsible for the final content.

7. Acceptable use

You agree not to: violate any law or the rights of others; impersonate any person or misrepresent a credential; upload unlawful, infringing or malicious content; access data you are not authorized to access or attempt to bypass any security or access control; scrape, reverse engineer or overload the Service; use the Service to send spam or unsolicited messages; or use it in any way that could harm patients, other users or the Service.

We may investigate suspected misuse and may suspend or terminate access, remove content, or report conduct to the authorities where we reasonably believe it is necessary.

8. Plans, fees and app store purchases

Some features are only available on certain plans. The features, limits and fees of each plan are shown in your account or agreed in writing with your organization. Plans billed by card or through an app store renew automatically for the same period until cancelled; plans paid by other methods end at the close of the paid period unless renewed. Except where the law requires otherwise, fees already paid are non-refundable.

Purchases made inside the iOS app are processed by Apple and are subject to Apple's terms; they are managed and cancelled in your Apple account settings. Other payments are processed by our third-party payment processors, and we do not store full card numbers. We may change fees for future periods on reasonable prior notice. Organization agreements are governed by their own written terms where those terms conflict with these.

9. Your content and our license

You keep all rights you have in the content you submit. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit and display that content only as needed to provide, secure and support the Service for you and as described in our Privacy Policy. We do not sell your content.

You represent that you have the rights and consents needed to submit your content and to let us process it as described.

10. Our intellectual property

The Service, including its software, design, text and the Zana and Zanapronto names and logos, belongs to Nouvos Solutions LLC or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. If you send us feedback, we may use it without obligation to you.

11. Third-party services

The Service relies on or links to third-party services, such as messaging, calendar, payment, app store and hosting providers. Those services are governed by their own terms and policies, and we are not responsible for them.

12. Privacy

Our Privacy Policy, available at https://www.zanapronto.com/en/privacy, explains how we handle personal and health information and forms part of these Terms. Instructions to delete your account are at https://www.zanapronto.com/en/eliminar-cuenta.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE, ANY CONTENT OR ANY MESSAGE WILL BE ACCURATE, AVAILABLE, SECURE, UNINTERRUPTED, ERROR-FREE OR DELIVERED ON TIME.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOUVOS SOLUTIONS LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, OR FOR ANY CLINICAL DECISION OR HEALTH OUTCOME, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THEIR POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID NOUVOS SOLUTIONS LLC FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

15. Indemnification

You will defend, indemnify and hold harmless Nouvos Solutions LLC and its affiliates, officers, employees and agents from any claims, losses, liabilities and expenses, including reasonable attorneys' fees, arising from your content, your use of the Service, your professional services, or your breach of these Terms or of any law or third-party right.

16. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service, and we will give reasonable notice where practical. On termination, sections that by their nature should survive will survive, and records may be retained as described in our Privacy Policy.

17. Governing law and disputes

These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-laws rules. Before filing any claim, you agree to contact us at legal@nouvos.one and try in good faith to resolve the dispute informally for at least thirty (30) days. Any proceeding will be brought exclusively in the state or federal courts located in Cook County, Illinois, and each party consents to their jurisdiction. Nothing in this section removes any mandatory consumer protection that the law of your country of residence gives you.

18. Changes to these Terms

We may update these Terms. We will post the new version with its effective date and, for material changes, give notice through the Service or by email before they take effect. If you keep using the Service after the changes take effect, you accept them.

19. General

These Terms, together with any written organization agreement, are the entire agreement between you and us about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. The official versions of these Terms are English and Spanish; if they differ, the version in the language of your account prevails.
